Draft, pending legal review · Last updated October 16, 2026
Terms of Service
These Terms of Service (the "Terms") are an agreement between you and [Company legal name] ("we", "us", or "Situs"). They cover your use of the Situs website, web app, resident portal, assistant, and related services (together, the "Service"). The promises above are a summary. If the summary and the full text below ever disagree, the full text controls. Please also read our Privacy Policy, which explains how we handle personal information.
1. Agreeing to these Terms
By creating an account, starting a trial, or using the Service, you agree to these Terms. If you use Situs for a company, trust, family office, or other organization, you confirm that you can bind it to these Terms, and "you" includes that organization.
If you don't agree, don't use the Service.
2. Accounts and eligibility
- Age. You must be at least 18 and able to form a binding contract.
- One workspace, one owner. Each subscription covers one workspace. The person who creates the workspace is the account owner and is responsible for it, including billing and who is invited.
- Accurate details. Keep your name, email, and billing details accurate and up to date.
- Security. Keep your password private and don't share sign-ins. You are responsible for activity under your account. Tell us right away at team@[your-domain] if you think someone has used your account without permission.
- Not allowed. You may not use the Service if the law (including US sanctions and export rules) prohibits you from using it.
3. Your licence to use Situs
While you follow these Terms and your subscription (or trial) is active, we give you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service to manage your own properties and those you are authorized to manage.
You agree not to, and not to let anyone else:
- copy, resell, rent, sublicense, or offer the Service to third parties as a service bureau, except by inviting your own team members and residents as the Service allows;
- reverse engineer, decompile, or try to extract the source code, models, or prompts behind the Service, except where the law allows it despite this limit;
- get around usage limits, access controls, or security, or test the Service for vulnerabilities without our written permission;
- scrape the Service or access it with automated tools other than the features we provide;
- use the Service to build a competing product; or
- remove notices of ownership or of AI-generated content.
4. Your data
You own your data. "Customer Data" means everything you, your team members, and your residents put into Situs: houses, units, people and contact details, leases and other documents, photos, service requests, providers, codes, Wi-Fi and other passwords, notes, and chat messages. As between you and us, you own all of it.
Our limited permission. You give us a worldwide, limited licence to host, store, copy, process, transmit, and display Customer Data only to provide, secure, support, and improve the Service for you, to prevent abuse, and to comply with the law. This licence ends when your Customer Data is deleted, except for copies we must keep by law and backup copies that are deleted on their normal schedule (see the Privacy Policy).
What we never do with it. We never sell Customer Data and never share it for advertising. We never use customer data to train AI. We don't look at the contents of your workspace except when you ask us to (for example in a support request), when needed to keep the Service secure or fix a problem, or when the law requires it.
Aggregated statistics. We may use counts and measurements about how the Service is used (for example, how many requests are created per month) to run and improve it. These never identify you, your residents, or your properties, and are never sold.
Your responsibility. You are responsible for the accuracy of Customer Data and for having the right to put it into Situs.
5. Residents, team members, and other people's information
Situs is built to store information about other people: family members, residents and tenants, caretakers, service providers, and team members.
- You need permission. The account owner is responsible for having a lawful reason and any permission or notice required by law to store and use other people's information in Situs, including documents such as leases and IDs and access details such as door codes and Wi-Fi passwords.
- You act as the controller; we act as your processor. For information about other people that you store, you decide what is collected and why. We process it on your behalf and under your instructions as described in these Terms and the Privacy Policy. If you need a data processing agreement, contact us at team@[your-domain].
- Team members. You choose who to invite and what they can see and do. You are responsible for their activity in your workspace, and for removing access when someone should no longer have it.
- Residents. Residents you invite to the resident portal can see their own place, details you choose to share, and their own requests. Residents agree to these Terms when they use the portal, but they don't pay and aren't responsible for your subscription.
- Requests about a person's data. If a resident or other person asks us about their information in your workspace, we will normally refer them to you and help you respond.
- Sensitive information. Don't store information you don't need. Don't put Social Security numbers, full bank or card numbers, health information, or similar highly sensitive data in Situs unless a feature specifically asks for it. The Service is not designed for protected health information under HIPAA.
6. The AI assistant
Situs includes an AI assistant that reads your workspace's own records to answer questions, find documents, read uploaded files, and suggest changes.
- Answers can be wrong. AI output can be incomplete, out of date, or simply incorrect, even when it sounds confident. Check important facts, dates, amounts, and documents yourself before you rely on them.
- You confirm every change. The assistant can propose records, edits, and messages, but nothing is saved, changed, or sent until you review it and tap Confirm. You are responsible for what you confirm.
- Not professional advice. Situs and its assistant don't give legal, tax, accounting, financial, insurance, or real-estate advice. Lease summaries, reminders, and suggestions are organizational tools only. Talk to a qualified professional for advice about your situation.
- No decisions about people. Don't use the assistant or its output to decide whether to rent to, evict, employ, insure, or extend credit to anyone, or for any other decision with legal or similarly significant effects on a person. Follow fair housing and anti-discrimination laws.
- How it works. To answer you, the relevant records and your message are sent to our AI model provider, which processes them under its agreement with us. We never use customer data to train AI. See AI processing in the Privacy Policy for details.
- Limits. We may set reasonable limits on assistant use to keep the Service fast and affordable. We'll tell you in the app if you reach one.
7. Acceptable use
Don't use the Service to:
- break any law, including privacy, consumer protection, fair housing, landlord-tenant, anti-spam, and intellectual property laws;
- store or share information you have no right to, or harass, threaten, or discriminate against anyone;
- upload malware, or anything designed to harm the Service or other people;
- send spam or messages people haven't agreed to receive;
- impersonate anyone or misrepresent your relationship with a property or person;
- store content that is illegal, sexually exploits anyone, or promotes violence; or
- try to access another customer's workspace or data.
We may remove content or limit access that we reasonably believe breaks this section (see Suspension).
8. Subscription, free trial, and automatic renewal
Price. Situs costs $29 per month per workspace, plus any applicable sales tax, unless a different price is shown when you subscribe. Stripe processes payments for us.
Free trial. New workspaces may start with a free trial (currently 14 days). One trial per customer. A valid card is required to start the trial. You won't be charged during the trial; the first charge is on day 15.
AUTOMATIC RENEWAL. When the trial ends, your subscription starts automatically and we charge your card $29 (plus any tax) unless you cancel before the trial ends. After that, your subscription renews automatically every month, and we charge the then-current monthly price to your card on file at the start of each monthly period, until you cancel. There is no minimum term. By starting a trial or subscription, you authorize these recurring charges.
How to cancel. You can cancel anytime, online, in Account → Billing → Manage billing. You can also email team@[your-domain] and we will cancel for you. Cancelling during the trial means you won't be charged. Cancelling after the trial stops the next renewal; you keep access until the end of the monthly period you already paid for.
Refunds. Payments are non-refundable, and we don't give refunds or credits for partial months or unused time, unless the law requires a refund. If you think we charged you in error, email team@[your-domain] within 60 days and we'll look into it.
Price changes. We may change the price. We'll tell you by email at least 30 days before a new price applies to you, and you can cancel before it takes effect.
Failed payments. If a payment fails, Stripe may retry it, and we may ask you to update your card. If payment still isn't made, we may limit your workspace to read-only or suspend it until the balance is paid. Your data isn't deleted because of a failed payment without notice (see Termination).
Taxes. Prices don't include taxes unless stated. You're responsible for taxes that apply to your purchase, other than taxes on our income.
Receipts and reminders. We (through Stripe) email a confirmation when your subscription starts, including how to cancel, and receipts for each charge.
9. Suspension
We may suspend or limit your access, in whole or in part, if:
- you break these Terms in a way that harms or risks harming us, other customers, residents, or anyone else;
- payment is overdue;
- your use creates a security risk or puts unusual strain on the Service; or
- the law or a valid order requires it.
When we can, we'll warn you first and give you a reasonable chance to fix the problem. We'll restore access once it's fixed. Suspension doesn't delete your data.
10. Ending your account, data export, and deletion
You can leave anytime. Cancel your subscription in Account → Billing. You can also delete your workspace in Account, which cancels the subscription, removes your files and records, and removes the sign-ins of everyone in the workspace.
Export first. The workspace owner (and team members with full access) can download a ZIP export of the main records and stored documents from Account at any time while the account exists, including after cancelling. If you need help getting a copy, email team@[your-domain].
After cancellation. When a subscription ends and isn't renewed, your workspace stays available to export for at least 30 days. After 90 days without an active subscription we may delete the workspace, but we'll email the account owner at least 14 days before we do.
When we may end the Service for you. We may end these Terms or close your account if you seriously or repeatedly break them, if the law requires it, or if we stop offering the Service. Except for serious breaches or legal requirements, we'll give at least 30 days' notice and a chance to export your data. If we stop offering the Service entirely, we'll refund any prepaid amount for the time after it ends.
Deletion. After a workspace is deleted, its data is removed from our live systems right away, and backup copies age out within 30 days. We keep only what the law requires us to keep, such as billing records.
What continues. Sections about your data ownership, payment owed, disclaimers, limits of liability, indemnity, disputes, and any other terms that by their nature should continue, survive after these Terms end.
11. Our intellectual property
We and our licensors own the Service, including the software, design, text, graphics, logos, and the name Situs. These Terms don't give you any rights in them except the licence in Your licence to use Situs. Customer Data and AI output generated from your Customer Data for you are yours to use, subject to the rights of others and to The AI assistant.
12. Feedback
If you send us ideas, suggestions, or feedback, we may use them to improve Situs without paying you or owing you anything. We won't identify you publicly as the source without your permission. Feedback doesn't include your Customer Data, which stays yours.
13. Third-party services
The Service relies on other companies, such as our payment processor, hosting and database providers, email provider, and AI model provider. They are listed in our sub-processor list. Some features may link to or connect with other services you choose to use. Those services have their own terms and privacy policies, and we aren't responsible for them. Payments you make through Stripe are also covered by Stripe's terms.
14. Disclaimers
We work hard to keep Situs reliable and secure, and we'll fix problems promptly when we find them. But to the extent the law allows, the Service is provided "as is" and "as available." We disclaim all warranties not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't promise that the Service will be uninterrupted or error-free, that AI output will be accurate, or that reminders and notifications will always arrive. Situs is a record-keeping tool. You remain responsible for your properties, deadlines, legal obligations, and decisions, and you should keep your own copies of important documents.
Some places don't allow certain warranties to be excluded, so some of these exclusions may not apply to you.
15. Limitation of liability
To the extent the law allows:
- No indirect losses. Neither you nor we will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, rent, or goodwill, arising from these Terms or the Service, even if told they were possible.
- Cap. Each party's total liability for all claims arising from these Terms or the Service is limited to the greater of (a) the average monthly amount you paid us during the 12 months before the claim arose (or during your subscription, if that was shorter), or (b) one month's list price for the Service (currently $29).
- Exceptions. These limits don't apply to your payment obligations, to either party's indemnity obligations, or to liability that the law doesn't allow to be limited, such as liability for fraud, gross negligence, or willful misconduct.
Some places don't allow these limits, so they may not fully apply to you.
16. Indemnity
You will defend and indemnify us, and our officers, employees, and contractors, against third-party claims, and the resulting losses and reasonable legal fees, that arise from (a) Customer Data, including a claim that you didn't have the right or permission to store or use someone's information; (b) your or your team members' use of the Service in breach of these Terms or the law; or (c) a dispute between you and a resident, tenant, family member, service provider, or team member. We'll tell you promptly about any such claim, let you control the defense, and cooperate reasonably at your expense. You may not settle a claim in a way that admits fault for us without our consent.
If you use Situs as a consumer (for your own personal, family, or household purposes), this section applies only to the extent the law allows.
17. Governing law
These Terms are governed by the laws of the State of [State], USA, without regard to its conflict-of-law rules, and by applicable US federal law. Any dispute that isn't resolved informally goes to individual arbitration as described in Resolving disputes. Any court case that is allowed under that section (for example, small claims, an injunction, or a case after a valid opt-out) will be brought in the state or federal courts located in [State], and both parties consent to their jurisdiction. If you live outside the US, you keep any protections that the law of your country gives you and that can't be waived by contract.
18. Resolving disputes
Talk to us first. Most problems can be fixed quickly. Before filing any claim, you agree to email team@[your-domain] (and we agree to email the account owner's address) with a description of the problem and what you'd like done. Both of us will try in good faith to resolve it within 60 days. Either of us may still go to small claims court if the claim qualifies, or seek urgent court relief to stop misuse of data or intellectual property.
Time limit. Unless the law requires a longer period, a claim must be brought within one year after it arises.
PLEASE READ THIS CAREFULLY. IT AFFECTS YOUR RIGHTS. Except as described below, you and we agree to resolve disputes through final, binding, individual arbitration instead of in court, and you and we each give up the right to a jury trial and to take part in a class action. You can opt out within 30 days (see "Opting out").
Agreement to arbitrate. If we can't resolve a dispute informally under "Talk to us first," any dispute, claim, or controversy between you and us arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding individual arbitration, not in court. This includes Disputes about whether something must be arbitrated, except that a court decides questions about the class-action waiver and the mass-arbitration rules below. The Federal Arbitration Act governs this section.
Rules and provider. The arbitration is run by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (and, where they apply, its supplementary rules for mass arbitrations) in effect when the arbitration is filed, as changed by this section. The rules are at adr.org. For a claim of US $25,000 or less, either party may choose to have it decided on written submissions alone, unless the arbitrator decides a hearing is needed.
Where it happens. The arbitration's legal seat is the State of [State]. If you use Situs as a consumer, you may choose to have any hearing in the county where you live or by video or phone.
Costs. Fees are paid as the AAA Consumer Arbitration Rules provide. If you are a consumer, we pay the filing, administration, and arbitrator fees beyond the amount you would pay to file in court, unless the arbitrator finds your claim was frivolous or brought for an improper purpose. Each party pays its own lawyers' fees unless the law or the arbitrator's award provides otherwise.
What the arbitrator can do. The arbitrator can award the same individual relief a court could, under the same law, but only for the individual party asking for it and only to the extent needed for that party's individual claim.
Exceptions: small claims and urgent relief. Either of us may bring an individual claim in small claims court if it qualifies and stays there. Either of us may also go to court to stop actual or threatened infringement or misuse of intellectual property, or unauthorized access to or misuse of data or the Service, including by asking for an injunction.
CLASS-ACTION AND JURY-TRIAL WAIVER. You and we may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not combine more than one person's claims or preside over any class or representative proceeding. You and we each give up the right to a jury trial.
Mass arbitration. If 25 or more similar demands are filed against us or by us by or with the help of the same or coordinated lawyers or organizations, the AAA will administer them in batches of up to 50 demands (with one batch for any remainder). Each batch is assigned to one arbitrator, with one set of fees per batch, and the next batch starts after the previous one ends unless the parties agree otherwise. Time limits for filing are paused while demands wait to be heard. A court may enforce this paragraph and decide disputes about it.
Opting out. You can opt out of this arbitration agreement by emailing team@[your-domain] within 30 days after you first agree to these Terms. Include your name, the email you use for Situs, and a clear statement that you want to opt out of arbitration. Opting out doesn't affect any other part of these Terms. If you opt out, Disputes go to the courts named in Governing law.
If part of this section fails. If the class-action waiver is found unenforceable for a particular claim or request for relief, then that claim or relief (and only that one) goes to court in the place named in Governing law, and is paused until the individual arbitration of the rest is finished. If any other part of this section is found unenforceable, the rest of it still applies.
Changes to this section. If we change this section, the change won't apply to a Dispute we already knew about. You may reject a material change by emailing team@[your-domain] within 30 days after it is posted, and the earlier version continues to apply to you.
This section, like the rest of these Terms, is a draft pending legal review.
19. Changes to the Service and these Terms
The Service. We improve Situs often. We may add, change, or remove features. If we remove a major feature you pay for, we'll give you reasonable notice.
These Terms. We may update these Terms. If a change is material (for example, it affects your rights, price, or how disputes are resolved), we'll email the account owner and show a notice in the app at least 30 days before it takes effect. Smaller changes, such as clarifications, take effect when posted. The "last updated" date at the top always shows the current version. If you don't agree to a change, you can cancel before it takes effect. If you keep using the Service after it takes effect, you accept the updated Terms. Changes don't apply to disputes that arose before they took effect.
20. General terms
- Entire agreement. These Terms, the Privacy Policy, and any order or data processing agreement we sign with you are the whole agreement between us about the Service.
- Order of precedence. If they conflict, a signed agreement controls, then these Terms, then the Privacy Policy.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets, and we'll tell you if that happens. The new owner must honor these Terms and the Privacy Policy, including our promise never to sell your data.
- Severability. If any part of these Terms is found unenforceable, the rest still applies, and the unenforceable part is changed only as much as needed to make it enforceable.
- No waiver. Not enforcing a term right away doesn't mean we give up the right to enforce it later.
- Events beyond control. Neither party is liable for delays caused by events beyond its reasonable control, such as outages at internet or cloud providers, natural disasters, or government action. This doesn't excuse payment.
- Notices. We send notices to the account owner's email address. You can send notices to team@[your-domain] or by mail to the address below.
- Relationship. We're independent contractors. These Terms don't create a partnership, agency, or employment relationship.
- Consumers in California. Under California Civil Code §1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
